Terms of Service

1. Acceptance of Terms

By accessing or using NameWick ("the Service"), operated by Zimmify Private Limited ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

NameWick is a platform that allows users to create temporary surprise pages on domain names owned by NameWick. A page grants you the right to display a photo and caption on the domain for one reserved booking window. Each booking has a 5-hour minimum. The customer-facing booking calendar displays times in the viewer's local timezone, while NameWick stores and enforces booking windows in UTC. The page is available only between the exact start and end times shown in checkout and your account. You do not acquire any ownership, registration rights, or permanent claim to the domain name itself. After the active period ends, the content expires and the domain becomes available again.

3. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. User Accounts

You may be required to create an account to use certain features of the Service. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Notifying us immediately of any unauthorized use of your account.

Accounts are personal and non-transferable. You may not share your account credentials with any third party.

5. Page Terms

A page is a temporary license to display content on a NameWick-owned domain. You are not purchasing, leasing, or acquiring the domain name itself.

  • Each booking lasts for the exact start and end time shown at checkout.
  • The standard minimum booking is 5 hours.
  • If a later booking starts before the end time you want, you may only book up to the next reservation. Days that are partially booked may still offer shorter remaining windows as long as they satisfy the minimum booking duration.
  • Pages are non-transferable.
  • Future bookings are subject to availability. A slot is only secured once both the NameWick booking hold and payment confirmation succeed.
  • You may edit your uploaded photo and caption at any time during the active period. Edited content is subject to the same content moderation rules as the original upload.
  • You may optionally protect a booking with a password or with a username and password. You are responsible for sharing those access credentials with your intended viewers.
  • Only one booking source of truth controls availability. Overlapping bookings for the same domain and time window are not allowed, regardless of which payment method is used.
  • We reserve the right to terminate a page early if it violates our Acceptable Use Policy.

6. Payments

  • Web payments are processed securely through Dodo Payments. By making a purchase, you also agree to Dodo Payments' terms and policies, plus any wallet or banking terms associated with your chosen payment method.
  • All prices are displayed in USD unless otherwise stated.
  • Payment is required before a booking is confirmed. If payment fails, is cancelled, or the hold expires, the requested slot returns to the availability pool.
  • Dodo Payments acts as Merchant of Record for our current web checkout flow and handles sales tax, VAT, and other applicable taxes on our behalf where applicable.
  • We do not store your credit card or payment details. All payment information is handled directly by the relevant payment provider.
  • If NameWick later offers native iOS or Android apps, those apps may use Apple, Google, or other platform-required billing systems instead of Dodo Payments.

7. Pricing

We reserve the right to change our pricing at any time. The price displayed at the time of checkout is the price you will be charged. In the event of a clear pricing error (e.g., a price listed as $0.00 due to a technical glitch), we reserve the right to cancel the transaction and issue a full refund. Pricing may vary by domain, and NameWick may apply quote-level promotional or volume discounts before checkout.

8. Content Guidelines

You are solely responsible for the content you upload. You agree not to upload content that:

  • Is illegal, harmful, threatening, abusive, defamatory, or obscene
  • Infringes on any intellectual property rights of others
  • Contains nudity, sexually explicit material, or graphic violence
  • Promotes hatred, discrimination, or violence against individuals or groups
  • Contains personal information of others without their consent
  • Is spam, phishing, or malware

All uploaded photos are automatically screened by our content moderation system. Content that fails moderation will be rejected. We reserve the right to remove any content at our sole discretion.

9. Prohibited Behavior

You agree not to:

  • Use automated tools, bots, scrapers, or scripts to access or interact with the Service
  • Attempt to circumvent our content moderation or security systems
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Use the Service for any unlawful purpose
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Reverse engineer, decompile, or disassemble any part of the Service

We may investigate suspected violations and may take action including temporary suspension, permanent ban, or cooperation with law enforcement where required.

10. Content Removal

If you appear in a photo displayed on our platform and wish to have it removed, you may submit a takedown request through our content removal page. We will process removal requests promptly.

11. Intellectual Property

  • Our IP: All content, design, logos, trademarks, and software comprising the Service are owned by NameWick or its licensors and are protected by applicable intellectual property laws.
  • Your content: You retain ownership of the content you upload. By uploading content, you grant us a limited, non-exclusive license to display the content on the domain for the duration of the active period. This license terminates when the page expires or the content is removed. You may update your content during the active period, at which point the previous version is replaced.
  • You may not copy, modify, distribute, or create derivative works based on the Service or its content without our express written permission.

12. Third-Party Services

The Service integrates with third-party services for payment processing, cloud hosting, file storage, and content moderation. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services, and shall not be liable for any damages arising from your use of them.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

14. Service Availability

We aim to maintain the Service 24/7 but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We shall not be liable for any loss or damage resulting from Service downtime.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that results obtained from use of the Service will be accurate or reliable.

16. Limitation of Liability

To the maximum extent permitted by law, NameWick shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service, including but not limited to loss of data, revenue, profits, goodwill, or expected savings. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless NameWick and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

18. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be subject to the exclusive jurisdiction of the courts located in India. You agree to waive any right to participate in class action lawsuits or class-wide arbitration against NameWick.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide notice via email (if you have an account) or by posting a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
